Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Tenant Storage Optimizer web application, related APIs, documentation, and support (together, the "Service"), provided by LogiSam Ltd ("LogiSam", "we", "us"). By creating an account, connecting a Microsoft 365 tenant, or otherwise using the Service, you agree to these Terms.
1. Accounts and workspaces
You must sign in using a valid Microsoft 365 account. When you first sign in, we create a workspace scoped to your organisation and grant you the Owner role. You are responsible for maintaining the security of the underlying Microsoft account, and for the acts of every user you invite into your workspace.
2. Grant of access
Subject to these Terms and the plan you subscribe to, LogiSam grants you a non-exclusive, non-transferable, revocable right to access and use the Service. Plan capacity, feature availability, and any fair-use limits are described on the Pricing page.
3. Scope of the Service
The Service reads metadata about your Microsoft 365 tenant via Microsoft Graph and reports on storage usage, duplicates, oversized files, version bloat, and stale content. The Service:
- Requests only READ scopes from Microsoft Graph. No write scopes are ever requested.
- Never deletes, modifies, moves, or otherwise mutates content in your tenant.
- Generates recommendations that your administrators may act on inside Microsoft's admin surfaces at their discretion.
4. Your responsibilities
- You represent that the person granting admin consent has the authority to bind your organisation.
- You are responsible for the accuracy and appropriateness of any action taken on the basis of the Service's recommendations.
- You will not attempt to reverse-engineer the Service, circumvent access controls, or use the Service to violate applicable law.
- You will maintain the confidentiality of API keys and export URLs issued by the Service.
5. Fees, billing, and taxes
Paid tiers are billed monthly, quarterly, or yearly at the price listed on the Pricing page at the time of subscription. Fees are exclusive of applicable taxes, which you are responsible for. Payments made via Stripe are subject to Stripe's Terms; subscriptions purchased via Microsoft AppSource / Azure Marketplace are governed by Microsoft's Commercial Marketplace terms in addition to these.
6. Term, suspension, and termination
These Terms remain in force while your account is active. Either party may terminate for material breach on 30 days' written notice, or immediately if the other party becomes insolvent. LogiSam may suspend the Service if we reasonably believe your use presents a security risk. On termination, exports remain available for a 30-day grace period, after which they are permanently deleted.
7. Warranty disclaimer
The Service is provided "as is". LogiSam disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. The Service's recommendations are informational — you retain full discretion over any action taken.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. LogiSam's aggregate liability under these Terms will not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.
9. Intellectual property
LogiSam retains all rights, title, and interest in the Service and any deliverables. You retain rights to your Customer Data. LogiSam may use aggregated, non-identifying usage statistics to improve the Service.
10. Confidentiality
Each party will protect the other's confidential information with at least the standard of care it applies to its own. Customer Data remains confidential to you at all times.
11. Governing law
These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the English courts, without prejudice to any statutory consumer-protection rights that apply to individual users.
12. Changes to these Terms
LogiSam may update these Terms from time to time. Material changes will be notified via the portal or by email at least 30 days before they take effect.
